1. ACCEPTANCE OF TERMS

   CONNECTBY.IO (HEREAFTER REFERRED TO AS THE “PLATFORM” OR “MOBILE APPLICATION”) IS A WEB AND MOBILE-BASED CLIENT COMMUNICATION INTEGRATION PLATFORM OWNED AND OPERATED BY ADSTHRIVE IT SOLUTIONS INC, LOCATED AT #35, CHURCH STREET, MG ROAD, BANGALORE, 560001, INDIA (HEREINAFTER REFERRED TO AS “ADSTHRIVE”/ “WE”/ “US”/ “OUR”).

   THIS DOCUMENT CONSTITUTES A LEGALLY BINDING AGREEMENT BETWEEN YOU, THE USER (HEREINAFTER REFERRED TO AS “YOU”/ “YOUR”/ “USER”) OF THE PLATFORM, AND US IN RELATION TO THE USE OF THE PLATFORM AND OUTLINES THE TERMS AND CONDITIONS FOR ACCESSING AND USING THE PLATFORM AND OUR RELATED WEBSITES, SERVICES, APPLICATIONS, PRODUCTS, AND CONTENT (COLLECTIVELY, THE “SERVICES”).

   THESE TERMS BECOME EFFECTIVE UPON YOUR ACCEPTANCE (DIRECTLY OR INDIRECTLY IN ELECTRONIC FORM, BY CLICKING ON THE "I AGREE" TAB OR BY USE OF THE PLATFORM AND/OR BY CREATING AN ACCOUNT ON THE PLATFORM (HEREINAFTER REFERRED TO AS “ACCOUNT”) AND GOVERN THE RELATIONSHIP BETWEEN YOU AND US REGARDING YOUR USE OF THE PLATFORM AND THE SERVICES RENDERED THEREIN.

   THIS DOCUMENT IS AN ELECTRONIC RECORD IN TERMS OF THE INFORMATION TECHNOLOGY ACT, 2000 AND THE PROVISIONS PERTAINING TO ELECTRONIC RECORDS IN VARIOUS STATUTES, AS AMENDED BY THE INFORMATION TECHNOLOGY ACT, 2000. THIS ELECTRONIC RECORD DOES NOT REQUIRE ANY PHYSICAL OR DIGITAL SIGNATURES.

   PLEASE READ THIS DOCUMENT CAREFULLY. BY USING THE PLATFORM AND OUR SERVICES, YOU INDICATE THAT YOU UNDERSTAND, AGREE, AND CONSENT TO THIS DOCUMENT. IF YOU DO NOT AGREE WITH THESE TERMS, PLEASE DO NOT USE THIS PLATFORM. BY PROVIDING US YOUR INFORMATION OR BY MAKING USE OF THE PLATFORM AND THE SERVICES, YOU CONSENT TO THE COLLECTION, STORAGE, PROCESSING, AND TRANSFER OF YOUR PERSONAL INFORMATION (DEFINED IN OUR PRIVACY POLICIES) AND NON-PERSONAL INFORMATION BY US AS SPECIFIED UNDER THIS DOCUMENT AND AGREE THAT SUCH USE SHALL NOT CAUSE ANY LOSS OR WRONGFUL GAIN TO YOU OR OTHERS.

   THE TERMS OF USE AND THE SERVICES PROVIDED BY US ARE INTENDED FOR ORGANIZATIONS, ENTITIES, COMPANIES, AND LEGAL PERSONS ONLY. INDIVIDUALS ACTING FOR PURPOSES OTHER THAN TRADE, BUSINESS, CRAFT, OR PROFESSION ARE EXCLUDED.

   YOU MUST BE ATLEAST EIGHTEEN (18) YEARS OLD TO ACCESS AND USE THIS PLATFORM. MINORS (BELOW THE AGE OF 18 YEARS) ARE NOT ENTITLED TO AVAIL THE SERVICES OF THIS PLATFORM. THE ENTITY OR ORGANIZATION ON BEHALF OF WHICH YOU ARE ACCESSING THE PLATFORM AND AVAILING THE SERVICES SHOULD BE DULY INCORPORATED AS PER APPLICABLE LAWS.

   IF YOU ARE USING THE SERVICES AS AN EMPLOYEE, AGENT, OR CONTRACTOR OF AN ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS OF USE.

   YOUR ACCESS TO THE PLATFORM AND USE OF OUR SERVICES IS ALSO SUBJECT TO OUR PRIVACY POLICIES, WHICH ARE AVAILABLE ON THE PLATFORM AND ARE INCORPORATED HEREIN BY REFERENCE.

   BEFORE YOU USE OR SUBSCRIBE TO THE PLATFORM, YOU REPRESENT THAT YOU HAVE FULLY READ, UNDERSTOOD, AND ACCEPT THE TERMS OF USE, WHICH MAY BE UPDATED PERIODICALLY WITHOUT NOTICE. CONTINUED ACCESS TO THE PLATFORM AND USE OF THE SERVICES AFTER SUCH UPDATES CONSTITUTES YOUR ACCEPTANCE OF THE UPDATED TERMS OF USE.

   WE MAY RELEASE NEW VERSIONS OF THE PLATFORM OR INTRODUCE NEW SERVICES SUBJECT TO THESE TERMS OF USE AND ANY ADDITIONAL TERMS THAT MAY APPLY.

2. CONNECTBY.IO SERVICES

   THE PLATFORM ENABLES USERS WHO HAVE SUBSCRIBED TO OUR SUBSCRIPTION PLAN TO ACCESS A CLOUD-BASED SOFTWARE THAT INTEGRATES CLIENT COMMUNICATIONS IN ONE PLATFORM USING WHATSAPP BUSINESS API (“CONNECTBY.IO SERVICES”). YOU ACKNOWLEDGE THAT THE PLATFORM REQUIRES WHATSAPP BUSINESS API FOR DELIVERING CONNECTBY.IO SERVICES, AND ANY MODIFICATIONS TO WHATSAPP BUSINESS API MAY AFFECT OUR SERVICE DELIVERY.

   CONNECTBY.IO SERVICES ARE DESIGNED FOR BUSINESS USE OR INTERNAL BUSINESS PURPOSES ONLY. THEY MUST BE USED IN ACCORDANCE WITH THEIR INTENDED PURPOSE. ADDITIONALLY, USERS ARE RESPONSIBLE FOR OBTAINING INTERNET ACCESS AND THE NECESSARY EQUIPMENT TO USE CONNECTBY.IO SERVICES.

   SERVICES INCLUDE, BUT ARE NOT LIMITED TO:

   Chatbot: Create a digital assistant for automatic replies to customer queries.

   Multiple Agents: Add multiple agents as per your subscription plan to the WhatsApp workspace.

   Private Notes: Authorized employees can add notes in conversations and against contacts.

   Sharing Contents: Create and share text messages, images, videos, locations, contacts, audio, etc.

   WhatsApp Message Templates: Create customized templates, subject to WhatsApp’s approval and pricing.

3. PROCEDURE FOR SIGNING UP AND ACCOUNT REGISTRATION

   To avail Connectby.io Services, follow these steps:

   Visit our Website (http://localhost/connectby) and provide your work email and active mobile number for a free trial.

   Apply for WhatsApp Business API through the Connectby.io portal.

   After our demo, if you wish to sign up, complete the connectby.io Onboarding Guide with required information about your business.

   Share the filled Guide with us and agree to the Terms of Use and WhatsApp Business terms.

   Once approved by WhatsApp, an OTP and sign-up link will be sent to you.

   Create an Account on the Platform using the sign-up link.

4. ACCOUNT REGISTRATION AND MAINTENANCE

   When creating an Account, ensure:

   Your Login Credentials are kept confidential.

   The Account is used only by authorized representatives.

   Any security breaches or unauthorized use of your ID are promptly reported to us.

   We reserve the right to modify Registration Data fields.

5. TERMS OF SUBSCRIPTION

   Choose an appropriate plan from our subscription plans on the pricing page (http://localhost/connectby/pricing) and agree to pay the Subscription Fee as listed. Payments are non-refundable and must be made within seven days of the invoice date. Subscription renewals are automatic unless terminated or non-renewed as per terms. Additional charges for WhatsApp Message Templates or Conversations will be billed monthly.

6. WHATSAPP BUSINESS API

   You acknowledge that Connectby.io is integrated with WhatsApp API and agree to adhere to WhatsApp’s terms and conditions. Violations of WhatsApp policies may lead to suspension of your WhatsApp account and additional charges.

7. PLATFORM ACCESS AND USE OF SERVICES

   You agree not to misuse the Platform or Services, including but not limited to uploading harmful content, infringing on intellectual property rights, or engaging in illegal activities. You also acknowledge that third-party content and links on the Platform are not controlled by us and we are not liable for any interactions with such content.

8. PERSONAL DATA PROTECTION

   Our use of Personal Data is limited to the purpose of collection. We commit to protecting your data as per the terms outlined in this agreement and our Privacy Policies.

9. INTELLECTUAL PROPERTY RIGHTS

   The Platform, including its content and technology, is our intellectual property. We grant you a limited, non-exclusive license to access and use the Platform for personal use, subject to these Terms.

10. REPRESENTATIONS AND WARRANTIES

    You represent and warrant that you have the authority and capacity to enter into and abide by these Terms, and will not use the Platform for unlawful purposes or in ways that infringe on our or third-party rights.

11. CONFIDENTIALITY

    Both parties agree to protect each other's Confidential Information and only use it in furtherance of this agreement.

12. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

    We provide the Platform "as is" without warranties of any kind. Our liability is limited to the maximum extent permitted by law, and we are not liable for any indirect or consequential damages.

13. INDEMNITY

    You agree to indemnify us against any losses, damages, or costs arising from your use of the Platform or breach of these Terms.

14. GENERAL

    These Terms, along with our Privacy Policies, constitute the entire agreement between the parties. They are governed by Indian law, and any disputes arising out of these Terms will be subject to the jurisdiction of the courts in Bangalore, Karnataka, India. All notices should be given to us via email at legal@connectby.io.

15. FORCE MAJEURE

    We are not responsible for any failure to perform due to unforeseen circumstances or causes beyond our reasonable control.

16. AMENDMENTS TO TERMS

    We reserve the right to modify these Terms at any time, with changes becoming effective when posted on the Platform. Continued use of the Platform after such changes constitutes acceptance of the new Terms.
